1. Overview & Acceptance

These Terms of Service ("Terms") govern your purchase and use of the PanoRA desktop software application ("Software") and our website (uplif.app). By downloading, installing, or purchasing a license to PanoRA, you agree to be bound by these Terms.

2. Annual License Grant

PanoRA is distributed as commercial desktop software with a pay-once, own-forever license model:

Perpetual Use: Your purchase grants you a non-exclusive, non-transferable, worldwide perpetual license to use the version of PanoRA purchased and all minor/major maintenance updates within the v1.x cycle.
No Recurring Subscriptions: There are no monthly fees, hidden charges, or renewal requirements. Once purchased, the software will continue to operate indefinitely.
Offline Freedom: The software does not require an active internet connection to validate or execute its features.

3. Device Activation Quota

To ensure fair personal use:

A single PanoRA Pro Annual License permits activation on one (1) personal device (a macOS or Windows machine owned or used primarily by the licensee).
A single PanoRA Team License permits simultaneous activation on up to three (3) workstations across your team.
If you upgrade or replace a computer, you may freely deactivate your license from the old machine within the app settings and reactivate it on your new hardware.

4. 14-Day Money-Back Guarantee

100% No-Questions-Asked Refund Policy: If PanoRA does not fit your daily workflow or you are dissatisfied for any reason within 14 days of your purchase date, simply email us at support@uplif.app with your order number. We will promptly issue a 100% full refund through our payment processor.

5. Merchant of Record & Billing

Our order process is conducted by our online reseller and Merchant of Record (e.g., LemonSqueezy / Paddle / Stripe). They handle all customer service inquiries, billing inquiries, tax collection (including EU VAT and US state sales taxes), and returns. They issue your official tax invoice upon purchase completion.

6. Intellectual Property & Restrictions

PanoRA and its accompanying documentation, branding, and assets are protected by copyright, trademark, and intellectual property laws. You agree not to:

Reverse-engineer, decompile, or disassemble the binary distribution (except where permitted by applicable mandatory law).
Distribute, resell, lease, or publicly publish your private license key.
Use PanoRA in violation of local laws or regulations.

7. Disclaimer of Warranties & Limitation of Liability

PanoRA is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied. To the maximum extent permitted by applicable law, PanoRA and its authors shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of or inability to use the Software.
